Alaris Holdings and its consortium have entered into an agreement for offerors to acquire the entire share capital of Alaris and collectively agreed to delist Alaris from JSE.
On Monday, 11 October 2021, Alaris Holdings Limited issued a firm intention announcement on the delisting of Alaris from the Johannesburg Stock Exchange, and to make an offer to Alaris shareholders. The offerors and Alaris have entered into an offer and implementation agreement, in which offerors have delivered notice to Alaris of its intention to offer to acquire the entire issued share capital of Alaris. The offer is said to be made at a cash consideration of R4.20 per Alaris ordinary share.
The offer consideration will represent a premium of 22.4 percent to the 30-day volume weighted average traded price of Alaris Shares traded on the JSE, as well as a premium of 30.4 percent to the closing date of Alaris Shares on the JSE of R3.22 as at 8 October 2021. The consortium and Alaris collectively believe that there has been limited benefit for Alaris being listed on the JSE.
